Terms of Service

These Terms of Service ("Terms") govern your use of MillTrak ("the Service"), provided by MillTrak, Inc. ("MillTrak", "we", "us", or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Service Description

MillTrak is a cloud-based shop management platform designed for machine shops and precision manufacturing businesses. The Service includes quoting and estimating, job tracking, scheduling, invoicing, customer relationship management, inventory management, quality control, and related tools as described on our website.

MillTrak is provided on a subscription basis. Features available to you depend on the plan you select (Professional, Business, or Enterprise). We reserve the right to modify, enhance, or discontinue features with reasonable notice to active subscribers.

2. User Responsibilities

As a user of MillTrak, you agree to:

  • Provide accurate and complete information when creating your account and keep it up to date.
  • Maintain the security of your account credentials. You are responsible for all activity under your account.
  • Use the Service in compliance with all applicable laws and regulations, including export controls (ITAR/EAR where applicable).
  • Ensure that all users on your account are authorized and aware of these Terms.
  • Notify us immediately at support@milltrak.com if you become aware of any unauthorized access to your account.

3. Payment Terms

Billing

Subscriptions are billed monthly or annually in advance, depending on your selection. Prices are in US dollars. You authorize us to charge the payment method on file on each billing date.

Free Trial

New accounts receive a 30-day free trial. Credit card is required to start. If you do not select a paid plan before the trial expires, your access will be limited to read-only mode.

Grace Period

If a payment fails, we will retry up to 3 times over a 10-day grace period. You will be notified by email of each failed attempt. If payment is not resolved within the grace period, your account may be suspended.

Refund Policy

We offer a full refund within the first 30 days of your initial paid subscription. After that, no refunds are provided for partial months or unused portions of annual subscriptions. Downgrades take effect at the next billing cycle.

4. Data Ownership

You retain all rights, title, and ownership of the data you enter into MillTrak ("Your Data"). We do not claim any intellectual property rights over Your Data. You grant us a limited, non-exclusive license to store, process, and display Your Data solely for the purpose of providing the Service to you.

You can export Your Data at any time using the built-in export tools. Upon account cancellation, Your Data is retained for 30 days and then permanently deleted. See our Privacy Policy for full details.

5. Intellectual Property

The MillTrak platform, including its source code, design, user interface, documentation, logos, and trademarks, is the intellectual property of MillTrak, Inc. and is protected by copyright and trademark laws. You may not copy, modify, distribute, reverse engineer, or create derivative works of any part of the Service without our prior written consent.

6. Limitation of Liability

To the maximum extent permitted by law, MillTrak, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Service.

Our total aggregate liability for any claims arising from your use of the Service shall not exceed the amount you paid to MillTrak in the twelve (12) months preceding the claim.

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

7. Termination

You may cancel your subscription at any time from Settings → Billing within the application. Cancellation takes effect at the end of your current billing period. No cancellation fees apply.

We reserve the right to suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or use the Service in a manner that could harm other users or our infrastructure. We will provide reasonable notice where possible.

8. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations.
  • Transmit malicious code, viruses, or harmful content.
  • Attempt to gain unauthorized access to other accounts or systems.
  • Interfere with or disrupt the Service or its infrastructure.
  • Use the Service for any purpose other than managing your machine shop business operations.
  • Resell, sublicense, or provide access to the Service to third parties without our consent.

9. Service Level Agreement (SLA)

MillTrak targets 99.9% uptime for the Service, measured on a monthly basis. This excludes scheduled maintenance windows, which will be announced at least 48 hours in advance and typically occur during off-peak hours (Saturday or Sunday, 2:00 AM - 6:00 AM EST).

In the event of an unscheduled outage that results in uptime falling below 99.9% in any given month, affected customers on paid plans may request a service credit equal to 10% of their monthly fee for each hour of downtime beyond the SLA, up to a maximum of one month's subscription fee.

10. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated to you via email and/or an in-app notification at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

If you do not agree with any changes, you may cancel your subscription before the changes take effect. The version of these Terms in effect at the time of any dispute will govern.
